Terms of Use

1. Acceptance of terms

By accessing or using the HelpingBrains website or any product covered by these Terms, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the services.

2. Products covered

These Terms cover the HelpingBrains website and the products HelpingBrains operates directly. Where a product is distributed through a third-party marketplace or platform (such as the Atlassian Marketplace, Akeneo, Shopware, or WordPress), that platform’s own terms also apply, and additional product-specific terms may be presented at installation or purchase. In case of conflict, product-specific terms govern for that product.

• Governed by these Terms: helpingbrains.info, CatalogOps, Sprint Reality, Dependency Radar, the AI Governance Platform, and our Shopware/WordPress marketplace apps.
• Governed separately: Bifrost (usebifrost.org) and Heimdall (useheimdall.app), under their own published terms.

3. Eligibility and accounts

Our products are intended for business and professional use. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and promptly notify us of any unauthorized use.

4. Acceptable use

You agree not to misuse the services. In particular, you will not:

• Use the services in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any system, data, or account.
• Reverse engineer, decompile, or copy the software except as permitted by law.
• Interfere with, disrupt, or overload the services or their infrastructure.
• Upload malicious code or use the services to infringe the rights of others.
• Resell or sublicense the services without our written permission.

5. Subscriptions, billing, and taxes

Some products are offered on paid plans. Paid plans are billed in advance on a recurring basis (monthly or annually) unless stated otherwise. Where a product is purchased through a marketplace, billing is handled by that marketplace under its terms.

Fees are exclusive of taxes unless stated; you are responsible for applicable taxes. Except where required by law or expressly stated, fees already paid are non-refundable. You may upgrade, downgrade, or cancel at any time, with changes taking effect at the end of the current billing period.

6. Free trials and beta features

We may offer free trials or beta/early-access features. Beta features are provided “as is”, may change or be discontinued, and are not covered by any service-level commitment. We may modify or end a trial at any time.

7. Customer data and license to operate

You retain all rights to the data and content you or your organization provide (“Customer Data”). You grant HelpingBrains a limited license to host, process, and transmit Customer Data solely to provide and support the services. Our processing of personal data within Customer Data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement.

8. Intellectual property

HelpingBrains and its licensors retain all rights, title, and interest in the services, software, brand, and content, including all associated intellectual property. Except for the limited right to use the services under these Terms, no rights are granted to you. Feedback you provide may be used by us without restriction.

9. Third-party services

The services may integrate with third-party platforms and services (such as Atlassian, Akeneo, Shopware, WordPress, and payment providers). We are not responsible for third-party services, and your use of them is subject to their own terms and policies.

10. Service availability and support

We aim to keep the services available and reliable, and provide support as described in our Service Level Agreement (SLA). We may perform maintenance, and may modify, suspend, or discontinue features with reasonable notice where practical.

11. Warranties and disclaimers

Except as expressly stated, the services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Statutory rights of consumers, where applicable, remain unaffected.

12. Limitation of liability

To the maximum extent permitted by law, HelpingBrains shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill.

Our total aggregate liability arising out of or related to the services shall not exceed the amounts you paid to us for the relevant product in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including for intent, gross negligence, or injury to life or health.

13. Indemnification

You agree to indemnify and hold HelpingBrains harmless from claims, damages, and expenses arising out of your Customer Data, your use of the services in breach of these Terms, or your violation of applicable law or third-party rights.

14. Suspension and termination

You may stop using the services at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay fees, or use the services in a way that poses a security or legal risk. On termination, your right to use the services ends and Customer Data is handled in accordance with our Privacy Policy and DPA.

15. Changes to the services and terms

We may update the services and these Terms from time to time. We will post the updated Terms here with a new “Last updated” date and, where changes are material, provide reasonable notice. Continued use after changes take effect constitutes acceptance.

16. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. To the extent permitted by law, the courts of Berlin, Germany shall have jurisdiction. Mandatory consumer protections in your country of residence remain unaffected.
